On 11 January 2022, Norway Royal Salmon (“NRS”) announced that it had entered into a share purchase agreement to acquire 100% of the shares in SalmoNor AS (“SalmoNor”) from NTS ASA and that an independent investment bank was engaged to evaluate the fairness of the agreed valuation of SalmoNor. The agreement values SalmoNor at an enterprise value of NOK 8,297m. On 13 January 2022, NRS announced that its independent members of the board of directors had received a fairness opinion from ABG Sundal Collier, concluding that the valuation of SalmoNor was fair from a financial point of view to NRS.
The transaction creates the world’s 6th largest salmon farmer with potential to produce ~100,000 tonnes of salmon in Norway and ~24,000 tonnes on Iceland. The management in SalmoNor and NRS see a clear strategic rationale in combining best practice from both companies to improve the performance and profitability within smolt, grow-out, development licenses and sales.
