On 1 October 2026, Ambienta SGR S.p.A. (“Ambienta”), one of Europe’s largest asset managers exclusively focused on environmental sustainability, announced the acquisition of Bio Marine AS (“Bio Marine”), Flatsetsund Engineering AS (“FLS”), Smir AS (“Smir”) and P/F GroAqua Group (“GroAqua”), four leaders in aquaculture technology. The four companies form a newly created multi-asset industrial platform centred on the North Atlantic, the hub of advanced aquaculture technology, spanning prevention, fish health, feeding, monitoring, oxygen management, non-chemical treatment, submerged systems and sludge treatment.
Across the four platform companies, the senior leadership teams, together with Tjaldur, GroAqua’s existing industrial owner, will reinvest significantly alongside Ambienta and retain key roles in the enlarged group, preserving the entrepreneurial vision and technical expertise behind each company.
The transaction is the first step in Ambienta’s ambition to become a pioneering Nordic leader delivering diversified industrial technology for sustainable aquaculture, one of the most resource-efficient sources of animal protein. The platform will accelerate adoption of technologies that protect fish welfare and survival, reduce chemical treatments and feed loss and limit organic and nutrient pollution, while creating cross-selling opportunities and faster product development across the group.
Founded in 2007, Ambienta is a European investment manager pioneering sustainable investing in environmental champions across private equity, public markets and private credit. Ambienta manages over EUR 4bn in assets and invests in companies whose products or services improve resource efficiency or pollution control.
ABG Sundal Collier is delighted to have supported Ambienta on the transactions involving FLS, Smir and GroAqua, and would like to thank Ambienta for partnering with us on this landmark transaction.
