ABG Sundal Collier acted as the sole manager and bookrunner for Norway Royal Salmon ASA’s NOK 1.9 billion private placement

Norway Royal Salmon ASA (“Norway Royal Salmon”, “NRS” or “the Company”) announced on Thursday March 31 2022 the successful completion of a private placement of new shares. The transaction comprised 9.34 million shares, at a fixed price of NOK 202 per share, equating to a total transaction size of ~NOK 1.9 billion. The Company intends to use the proceeds from the Private Placement to finance the Cash Consideration of the Company’s contemplated acquisition of SalmoNor AS (“SalmoNor”) from NTS ASA (“NTS”), where the purchase price of ~NOK 6 billion is agreed financed through 68.14% consideration shares in NRS (the “Share Consideration”) and 31.86% cash (the “Cash Consideration”). The private placement attracted significant interest from both existing shareholders as well as new high-quality Nordic and international institutional investors and was well covered at the issue price.
