On Tuesday 14 June 2022, Verdane announced it has signed an agreement to sell Kappa Bioscience (“Kappa” or the “Company”), a leading science-based producer of specialty vitamin K2 for the human nutrition industry, to Balchem Corporation (NASDAQ:BCPC), a global specialty ingredients company focused on Nutrition and Health, for an enterprise value of NOK 3,175 million.
Founded in 2006 and acquired by Verdane in 2019, Kappa has developed into a global market-leading producer of vitamin K2 for the food supplements market. During Verdane’s ownership it has seen revenues more than double and EBITDA quadruple.
Vitamin K2 is a fast-growing specialty vitamin that plays a crucial role in the human body for bone health, heart health, immunity, and athletic performance. It is important at all life stages, from pregnancy and early life to healthy aging. Furthermore, Kappa’s K2VITAL® branded vitamin K2 is the leading synthetic vitamin K2 and is backed by strong intellectual property and a deep clinical research portfolio.
The transaction will allow Kappa to leverage Balchem’s strength in the United States to further accelerate growth in this key market. At the same time, Kappa provides Balchem with increased access to European markets and the acquisition will accelerate Balchem’s strategy to expand their portfolio of science-based specialty nutrients and offer an immediate leading position with Vitamin K2.
