On Tuesday 9 November 2021, Samhällsbyggnadsbolaget i Norden AB (publ) (“SBB”) announced it had entered into an agreement to acquire 51,106,538 shares corresponding to 62.65% of the shares in Solon Eiendom ASA (“Solon”) for a total purchase price of approx. NOK 2,249 million. The selling shareholders in the transaction are Runar Vatne (privately) and companies owned directly or indirectly by Runar Vatne, Simen Thorsen, Øystein Landvik and Tore Aksel Voldberg.
The transaction is settled 50% through an issue of 17,035,513 Class B SBB shares at a subscription price of SEK 66 per share, and 50% in cash.
Following the acquisition, SBB will own 68,005,231 shares in Solon, corresponding to 83.36% of the shares and votes. The transaction triggers an obligation for SBB to make a mandatory offer for the remaining shares not held in Solon.
