ABG Sundal Collier acted as financial advisor to the board of directors of Biokraft in the mandatory public offer by 1Vision Biogas

On 2 February 2024, 1Vision Biogas AB (“1Vision Biogas”) announced a mandatory public offer to the shareholders of Biokraft International AB (publ) (“Biokraft”) after Aneo Renewables Holdings AS’ and St1 Sverige AB completed the consolidation of their respective shareholding in Biokraft into a newly established and jointly owned company, 1Vision Biogas. 1Vision, with a combined shareholding of approximately 55 percent. The offer price was SEK 20.65 per share, representing a premium of 30.7% to last close before the announcement of the consolidation of Aneo and St1 holdings, triggering the mandatory public offer.
On 26 February 2024, the board of directors of Biokraft announced their recommendation to the shareholders. Investors with a short-term investment horizon and/or a lower risk tolerance as well as those who lack the possibility or willingness to invest additional capital were recommended to accept the Offer. Also, the board of directors considered that the terms of the offer do not reflect the long-term fundamental value of Biokraft and that shareholders with a long-term investment horizon and/or a higher risk tolerance as well as a willingness to invest additional capital to secure Biokraft’s growth journey towards the operational production targets should evaluate the situation carefully and consider retaining their ownership.
ABG Sundal Collier acted as financial advisor to the board of directors of Biokraft. The acceptance period ended on 11 March 2024 and 1Vision Biogas announced on 13 March 2024 that they had reached an ownership level of 95.2 percent.
The assignment marks the fourth consecutive transaction where ABG Sundal Collier has acted as financial advisor to Biokraft, following the fairness opinion on the mandatory bid by Aneo in December 2022, the directed share issue of SEK 326 million in October 2022 and the SEK 586 million Dark Green IPO on Nasdaq First North Premier Growth Market in December 2020.
