ABG Sundal Collier acted as financial advisor to Mercell in connection with Thoma Bravo’s voluntary offer to acquire all shares in the company

On Wednesday, 25 May 2022, the Board of Mercell announced an agreement whereby Thoma Bravo will put forward a voluntary cash offer to acquire 100% of the shares in Mercell at an offer price of NOK 6.30 per share. The offer price represents a premium of 110% compared to Mercell’s closing price as of 24 May 2022, a 120% premium to the VWAP for the three-month period ending on 24 May 2022 and a 58% premium to the VWAP for the six-month period ending on 24 May 2022.
Thoma Bravo is one of the one of the largest private equity firms in the world, with more than USD 103 billion in assets under management as of year-end 2021, and is considered a global leader within software and technology. As the new majority owner in the Company, Thoma Bravo aims to continue the expansion into the European SaaS market, and to work in partnership with management to further scale the platform.
This is the fourth time that ABG Sundal Collier acts as advisor to Mercell over the last two years, having advised on the capital raise in connection with the acquisition of Cloudia in June 2021, advising Mercell in connection with the acquisition of Visma Commerce as well as being joint bookrunner in the related equity and debt financing in December 2020, and acting as joint global coordinator and bookrunner in the listing of Mercell on Euronext growth in June 2020.
