Hg, a leading global software investor, today announced an ownership transition in Visma, one of the leading providers of business-critical software to private and public enterprises in the Nordic, Benelux and Baltic regions. Hg Saturn 2 Fund will acquire a stake from Montagu, a leading private equity firm involved in Visma since 2010, while Warburg Pincus and TPG will make its first investments in the Company through minority stakes. Additionally, CPPIB will increase its stake, alongside other current co-investors in Visma, including General Atlantic who entered earlier in 2020. Following the completion of the transaction, Hg will remain a vital shareholder at ~54%, followed by co-investors GIC, ICG, CPPIB, Warburg Pincus, TPG, General Atlantic and management.
Following the delisting of Visma from Oslo Stock Exchange 14 years ago, where ABG Sundal Collier acted as adviser to the Company, Visma has grown and evolved into a leading SaaS business solutions provider, and systematically delivered year-on-year growth in revenue and EBITDA over the last 15 years (19% and 23% CAGR, respectively). This ownership transition, valuing Visma at an enterprise value of NOK 110bn, ensures a strong, blue-chip investor to support the continued journey of Europe’s biggest success story in cloud software for businesses.
This is the fifth consecutive time ABG Sundal Collier is involved in Visma’s ownership transitions, and once again, we are hugely impressed by all involved parties and remain thankful for the vote of confidence.
