SampaDCMEUR 300m

Sole manager and bookrunner to Sampa in connection with their inaugural EUR 300 million bond issue

In June 2026, Sampa Finance and Investment B.V. (together with its subsidiaries “Sampa”) successfully issued an inaugural EUR 300m senior secured bond with a 5-year tenor where the proceeds will be applied towards refinancing existing debt, financing the construction of the company’s new manufacturing facility and general corporate purposes. The bond issue received strong demand from a broad range of global high-quality investors and the transaction was well oversubscribed.

Sampa is one of the world’s largest independent manufacturers and distributors of heavy commercial vehicle spare parts, spanning over 150,000 SKUs across more than 30 product categories. The company serves a highly diversified customer base ranging from wholesalers and distributors to OEMs – with OEM partnerships serving as a quality benchmark, reflecting compatibility with virtually all major commercial vehicle brands. With 17 factories and 215,000 m² of production space, Sampa operates one of the broadest manufacturing footprints in the industry, supported by a dedicated R&D centre staffed by more than 300 engineers.

FlowaM&ASEK 6.5bn

Financial adviser to Nordic Capital in connection with the SEK 6.5 billion acquisition of Flowa

In June 2026, Nordic Capital announced the acquisition of Flowa Technology AB (”Flowa” or the “Company”) from Vestum for a consideration of SEK 6.5 billion on a cash- and debt-free basis. The transaction marks a new partnership between Nordic Capital and Flowa, and will enable the Company to continue its growth journey as a leading provider of engineered water infrastructure solutions in the UK and the Nordics.

Operating through a group of specialist subsidiaries, Flowa provides advanced solutions, monitoring technology and engineering services that help improve critical water and wastewater infrastructure. With more than 3,000 submersible and surface-mounted pumps, proprietary monitoring technology, and a broad range of engineering, upgrade and aftermarket services, Flowa offers an end-to-end solution across the entire infrastructure lifecycle. Flowa has delivered consistent growth in recent years, both organically and through strategic acquisitions, and enters this next phase with strong operational and financial momentum.

Silex MicrosystemsIPOSEK 2.0bn

Joint global coordinator and bookrunner in the IPO of Silex Microsystems

Silex Microsystems AB successfully completed its IPO on Nasdaq Stockholm with the first day of trading on 7 May 2026. Headquartered in Järfälla, Sweden, Silex is the global leader in pure-play MEMS manufacturing, serving a broad base of leading technology customers across applications such as medical technology, telecommunications, data centres and automotive. The MEMS market is supported by strong structural growth driven by trends including AI, IoT, automation and autonomous systems. For the year ended 31 December 2025, Silex’s net sales were SEK 1,385 million with an EBIT of SEK 368 million, reflecting average annual net sales growth of 17 percent since 2015.

The offering comprised newly issued ordinary shares providing the Company with gross proceeds of approximately SEK 1,000 million, alongside a secondary component, and was priced at a market capitalisation of approximately SEK 8.9 billion. The offering attracted strong interest from both Nordic and international institutional investors and was multiple times oversubscribed. Creades AB (publ), AFA Insurance, Tredje AP-fonden, one or more funds and/or accounts managed by Capital Research Global Investors, Swedbank Robur Fonder AB, Fjärde AP-fonden, Andra AP-fonden (AP2), Fidelity International and Carnegie Fonder acted as cornerstone investors in the transaction, undertaking to acquire shares of up to SEK 1,501 million, representing approximately 75 percent of the offering.

The IPO follows ABG Sundal Collier’s role as sole financial adviser to Silex Microsystems and its previous majority owner Sai Microelectronics on the sale of the Company in 2025 to a Swedish consortium led by Bure Equity and Creades, including Grenspecialisten, 3S Invest, SEB-Stiftelsen and TomEnterprise, re-establishing Silex as a Swedish majority-owned company. ABGSC is proud to have acted as Joint Global Coordinator and Joint Bookrunner in the transaction, and as sole financial adviser in the 2025 sale of Silex Microsystems to the Bure- and Creades-led consortium.

Sweden BallisticsEquity raiseSEK 300m

sole financial advisor in connection with the SEK 300 million equity raise in Sweden Ballistics

In May 2026, Sweden Ballistics AB (“SWEBAL”) announced an equity raise of SEK 300 million. The share issue supports SWEBAL’s construction of its planned TNT manufacturing plant in Nora, Sweden, with proceeds to be used to finance capital expenditure related to machinery and facilities, pre-production and raw materials.

Founded in 2024, SWEBAL is establishing a TNT manufacturing plant in Sweden, supported by a fully European supply chain. TNT is a well-established energetic and a central component in ammunition manufacturing, in short supply across Europe and globally. By establishing a plant in Sweden, SWEBAL will contribute to a more robust and resilient defence capability in Sweden, Europe and NATO, while strengthening supply security and reducing dependence on foreign supply chains. The plant is targeted to start its production by 2028.

Sole global coordinator and joint bookrunner in the SEK 1,005m directed issue of Class D shares in Sagax

In June 2026, Sagax announced the successful completion of a directed issue of Class D common shares, raising gross proceeds of SEK 1,005 million. The share issue attracted strong interest from Swedish and international institutional investors.

The proceeds from the share issue will be used to support Sagax’s financial flexibility to pursue investment opportunities while preserving a strong capital structure and liquidity position.

This transaction marks the sixth capital raise completed by ABG Sundal Collier for Sagax since 2018, raising gross proceeds of over SEK 6 billion. ABG Sundal Collier has a 100% market share in directed issues of preference shares and D-shares in Sweden since 2018 and for such instruments, this was the largest capital raise ever completed in the Nordics.

ElkemPrimary PlacementNok 1.5bn

Sole global coordinator and joint bookrunner in the NOK 1.5bn fully underwritten private placement in Elkem

Elkem ASA (“Elkem” or the “Company”) announced in May 2026 the successful completion of a NOK 1,500 million fully underwritten private placement, equal to 55,555,555 new shares, at a subscription price of NOK 27.00 per share. The subscription price represented a 3.2% discount to the intraday closing price for the Elkem share.

The private placement attracted strong investor interest and was significantly oversubscribed, with the proceeds ensuring deleveraging and strengthening of the equity in the Company following the redemption of shares held by Bluestar in relation to the Silicones transaction, where ABGSC acted as Exclusive Adviser to Elkem. The net proceeds will strengthen the Company’s liquidity position and be used for general corporate purposes.

Subject to publication by the Company of a prospectus approved by the Financial Supervisory Authority of Norway, the private placement will be followed by a subsequent offering towards existing shareholders to mitigate the dilutive effects for shareholders not participating in the private placement. Such offering will raise gross proceeds of NOK 300 million via 11,111,111 new shares.
